
Envar Holding AB (”Envar” eller ”Bolaget”) är en outsourcing- och utvecklingsstudio med fokus på grafisk design, 3D-grafik, animationer och illustrationer till huvudsakligen spelutvecklingsföretag eller andra företag verksamma inom underhållningsindustrin. Den 22 november 2024 offentliggjorde Envar sin avsikt att genomföra en notering av Bolagets aktier på Nasdaq First North Growth Market (”Noteringen”) och i samband med Noteringen genomföra ett erbjudande av nyemitterade aktier motsvarande 50 MSEK ("Erbjudandet”).

Erbjudandet omfattar högst 2 500 000 aktier som erbjuds till institutionella investerare i Sverige och internationellt samt till allmänheten i Sverige, Norge och Finland via Nordnet.

Erbjudandepriset per aktie uppgår till 20 SEK.

Om Erbjudandet fulltecknas erhåller Bolaget en emissionslikvid om 50 MSEK, motsvarande ett bolagsvärde före Erbjudandet på 200 MSEK.

Nettolikviden i Erbjudandet avses disponeras dels till spelutveckling fram till lansering (80%) och spelutveckling efter lansering (20%).

Om Erbjudandet fulltecknas uppgår utspädningen till 20 procent baserat på nuvarande antal aktier i Bolaget.

Bolaget har erhållit teckningsåtaganden från ett flertal ankarinvesterare, bland annat Tenesta Holding AB. Teckningsåtagandena uppgår till 27 MSEK, motsvarande 54 procent av Erbjudandet.

Anmälningsperioden för Erbjudandet kommer att pågå från och med den 26 november 2024 till och med den 10 december 2024.

Preliminär första handelsdag för Bolagets aktier är beräknad till den 17 december 2024 och Bolagets aktie kommer att handlas under kortnamnet ENVAR, med ISIN-kod SE0023134895.

Envar Holding AB är ett lönsamt tillväxtbolag med huvudsaklig verksamhet inom outsourcing-, co-development och spelutveckling. Sedan slutet av 2022 har bolaget initierat egen spelutveckling som hittills finansierats av vinstmedel från verksamheten.

Styrelsen i Envar Holding gör bedömningen att en notering av Envar Holdings aktier på Nasdaq First North Growth Market ökar intresset för Envar Holding från såväl professionella- som institutionella investerare. Fortsatt ökar en notering möjligheterna att anskaffa kapital samt möjliggör en ändamålsenlig handel i Bolagets aktie för såväl privata som professionella investerare. Motivet för Erbjudandet är att accelerera utvecklingstakten för Bolagets första egenutvecklade spel och lansera spelet på PC i Early Access under andra kvartalet 2026.

Atey Ghailan äger 100 procent av aktierna i Envar före Erbjudandet.
