Den 13 januari 2025, offentliggjorde SEHED Byggmästargruppen AB (publ) (”SEHED” eller ”Bolaget”), en väletablerad koncern bestående av specialistföretag inom bygg- och entreprenadsektorn, sin avsikt att notera Bolagets B-aktier på NGM Nordic SME (”Noteringen”) och i samband med Noteringen genomföra ett erbjudande av befintliga B-aktier motsvarande 27,2 MSEK ("Erbjudandet”). Samma datum har Bolaget offentliggjort även informationsmemorandumet som upprättats med anledning av Erbjudandet (”Memorandumet”). Inför Erbjudandet har ett konsortium av cornestone-investerare lämnat förvärvsåtaganden avseende förvärv utanför Erbjudandet om totalt cirka 18,8 MSEK. Första dag för handel förväntas bli den 6 februari 2025.

Erbjudandet omfattar högst 1600 000 B-aktier som erbjuds till institutionella investerare samt allmänheten i Sverige.

Erbjudandepriset per B-aktie uppgår till 17 SEK, motsvarande ett totalt värde för samtliga B-aktier i Bolaget om cirka 453,2 MSEK.

Inför Erbjudandet har ett konsortium av cornestone-investerare lämnat förvärvsåtaganden avseende förvärv utanför Erbjudandet om totalt cirka 18,8 MSEK. Cornerstone-investerarna erhåller ingen ersättning för sina förvärvsåtaganden och har ingått lock-up om 100 procent av aktieinnehavet under en period om sex månader från att handel i Bolagets B-aktier har inletts på NGM Nordic SME. I övrigt genomförs cornerstone-investeringarna på samma villkor som för andra investerare i Erbjudandet.

Anmälningsperioden för Erbjudandet kommer att pågå från och med den 13 januari 2025 till och med den 27 januari 2025.

Första handelsdag på NGM Nordic SME förväntas bli den 6 februari 2025 och aktierna kommer handlas under kortnamnet (ticker) SEHED B, med ISIN-kod SE0023468954.

Styrelsen och ledningen i SEHED gör bedömningen att en notering på NGM Nordic SME är ett naturligt nästa steg i bolagets utveckling och en viktig milstolpe i dess strävan att bibehålla sin position som en ledande och pålitlig aktör med entreprenader inom byggbranschen i Sverige. Styrelsen anser också att en notering kommer att öka varumärkeskännedomen kring SEHED, vilket ytterligare stärker Bolagets förmåga att attrahera och behålla kompetenta medarbetare, samarbetspartners och kunder. Dessutom ger det SEHED tillgång till svenska och internationella kapitalmarknader, vilket ger ökade möjligheter till fortsatta förvärv som stödjer Bolagets verksamhet.

Huvudaktieägaren SEHED Invest AB har före Erbjudandet ingått lock-up om 100 procent av aktieinnehavet, från första dagen för handel på NGM Nordic SME, under en period om tolv (12) månader. Därutöver har cornerstone- investerarna ingått lock-up om 100 procent av aktieinnehavet, från första dagen för handel på NGM Nordic SME, under en period om sex (6) månader. Sammanlagt omfattas cirka 84,5 procent av B-aktierna i SEHED av lock up- åtaganden vid första handelsdagen.
